LEGAL AGREEMENT

Terms of Service

The legal terms, protocol rules, and operational guidelines governing your use of Baxis non-custodial smart contract escrows and arbitration workspace.

Effective Date: August 2026 • Version 1.0

1. Acceptance of Terms

By accessing or using Baxis Protocol ("Baxis", "we", "our"), connecting an EVM wallet, creating an escrow agreement, or interacting with BaxisEscrow smart contracts, you agree to be bound by these Terms of Service. If you do not agree to all terms, you must not access or use the platform.

2. User Eligibility

You represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction. You confirm that you possess full legal capacity to enter into binding digital agreements and are not subject to international economic sanctions (including OFAC restricted lists).

3. User Accounts & Session Security

Accounts are created and authenticated securely via Supabase Auth. You are responsible for maintaining the confidentiality of your account credentials and for all actions taken under your authenticated session or connected wallet address.

4. Escrow Process & Smart Contract Usage

Baxis operates using non-custodial smart contracts deployed on the Base blockchain (`BaxisEscrow.sol`).

  • Funding Vaults: When a client funds an escrow via `fundEscrow`, stablecoin funds (USDC) are locked directly into smart contract code—not company bank accounts.
  • Inspection Timelocks: Every vault includes an agreed inspection window (`MIN_INSPECTION_WINDOW` = 24 hours to `MAX_INSPECTION_WINDOW` = 90 days).
  • Automated Releases: Clients can approve payouts manually (`releaseFunds`). If the inspection window expires after work submission without a dispute being raised, freelancers can claim automated payouts (`claimInspectionPayout`).

5. Platform Infrastructure Role & Outcome Disclaimer

No Outcome or Work Quality Guarantee

Baxis is strictly a software infrastructure layer. Baxis is not a freelance marketplace, recruitment agency, employer, or legal party to user agreements. Users discover each other independently across third-party platforms (e.g., X, Discord, Telegram) prior to utilizing Baxis. Baxis does not endorse, guarantee, or take responsibility for the quality, accuracy, lawfulness, or completion of work negotiated between users.

6. User Responsibilities

Users of Baxis Protocol agree to:

  • Define clear, objective deliverable terms before locking funds into an escrow vault.
  • Verify counterparty wallet addresses before initiating on-chain transactions.
  • Upload proof assets and project deliverables directly into the workspace to preserve an accurate record in case of disputes.

7. Platform Availability

While Baxis strives for maximum uptime, web interfaces and API services are provided on an "as-is" basis. Access may be temporarily interrupted during protocol upgrades or RPC provider outages. On-chain smart contract funds remain accessible directly via blockchain explorer tools even during front-end maintenance.

8. Protocol Fees

Baxis collects a default platform fee (e.g., 3.0% / 300 basis points) upon escrow funding to sustain network infrastructure and arbitration services. The smart contract enforces a hard-coded maximum fee cap of 10.0% (`MAX_FEE_BPS = 1000`). Fee structures may evolve as protocol governance matures.

9. Dispute Resolution & Official Arbitration

If a party initiates a dispute via `raiseDispute`, funds inside the smart contract freeze in `DISPUTED` status. Both parties agree to submit justifications and evidence files through the Baxis workspace. Designated Baxis Arbitrators review off-chain proof and execute binding on-chain settlements (`resolveDispute`), distributing funds between client and freelancer in accordance with submitted evidence.

10. Prohibited Activities

You agree not to use Baxis Protocol to:

  • Facilitate transactions involving illegal goods, weapon sales, or illicit services.
  • Submit fraudulent evidence or forge counterparty identity during dispute arbitration.
  • Attempt smart contract exploits, reentrancy attacks, or bypass Row Level Security database policies.
  • Use escrow vaults for money laundering or sanction evasion.

11. Intellectual Property

All right, title, and interest in Baxis software, web branding, design systems, and smart contract code remain the property of Baxis Protocol. Deliverables and proof assets uploaded by users remain the property of their respective owners.

12. Limitation of Liability

Liability Disclaimer

BAXIS PROTOCOL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAXIS DISCLAIMS ALL WARRANTIES. BAXIS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF FUNDS RESULTING FROM USER PRIVATE KEY LOSS, BLOCKCHAIN REORGS, OR UNEXPECTED BLOCKCHAIN NETWORK CONGESTION.

13. Account Suspension

Baxis reserves the right to suspend or terminate workspace and database access for users who violate these Terms. Account suspension does not modify or wipe immutable smart contract states already committed on-chain.

14. Updates to the Terms

We reserve the right to modify these Terms as protocol governance evolves. Continued use of Baxis following updates constitutes acceptance of the new Terms.
